Terms of Service

By accessing or using the BrandBaazar platform, website (brandbaazar.com), APIs, or any related services (collectively, the "Service"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you (whether an individual or an entity) and BrandBaazar. We may update these Terms from time to time. Continued use of the Service after any changes constitutes your acceptance of the revised Terms. We will notify users of material changes via email or through the platform.

BrandBaazar is an ecommerce data intelligence platform that provides real-time data collection, analytics, and AI-powered insights across 50+ online marketplaces. Our Service includes, but is not limited to:

• Real-time product data collection and monitoring across marketplaces
• Pricing intelligence, competitor analysis, and market trend tracking
• AI-powered analytics, recommendations, and reporting tools
• API access for integrating marketplace data into your systems
• Custom data solutions and dashboards

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice when possible.

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Immediately notify BrandBaazar of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, with prior notice where practicable.

You may use the Service only for lawful business purposes and in compliance with all applicable laws. You agree not to:

• Use the Service to violate any applicable law, regulation, or third-party rights
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Resell, redistribute, or sublicense access to the Service or its data without authorization
• Interfere with, disrupt, or place an unreasonable burden on the Service infrastructure
• Use automated tools to scrape or extract data from the BrandBaazar platform itself
• Share your account credentials or allow unauthorized third parties to access the Service
• Use the Service to engage in any form of competitive intelligence gathering against BrandBaazar

Certain features of the Service require a paid subscription. By selecting a subscription plan, you agree to:

• Pay all applicable fees as described in your chosen plan
• Authorize recurring charges on the billing cycle selected (monthly or annual)
• Accept that fees are non-refundable except where required by applicable law or as specified in your service agreement

BrandBaazar reserves the right to modify pricing with at least 30 days written notice. Price changes will take effect at the start of the next billing cycle following the notice period.

BrandBaazar collects data from publicly available sources across online marketplaces. While we make commercially reasonable efforts to ensure data accuracy and timeliness, we do not guarantee that all data will be complete, accurate, or current at all times. You acknowledge that:

• Data is provided "as available" and marketplace conditions may change rapidly
• You are responsible for verifying data before making business decisions
• BrandBaazar is not liable for decisions made based on data accessed through the Service
• You will use the data in compliance with all applicable laws, including data protection regulations

All content, features, and functionality of the Service, including but not limited to software, algorithms, text, graphics, logos, APIs, and documentation, are the exclusive property of BrandBaazar or its licensors and are protected by intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms and your subscription plan. This license does not include the right to:

• Copy, modify, or create derivative works based on the Service
• Use BrandBaazar trademarks, logos, or branding without prior written consent
• Claim ownership of any data, reports, or insights generated by the Service

You retain ownership of any data you upload to the platform. By uploading data, you grant BrandBaazar a limited license to process and analyze it solely for the purpose of providing the Service to you.

Each party agrees to maintain the confidentiality of any proprietary or confidential information disclosed by the other party. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

BrandBaazar will not share your account data, usage patterns, or business insights with third parties except as required to provide the Service or as required by law.

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
• BrandBaazar shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to BrandBaazar in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

You agree to indemnify, defend, and hold harmless BrandBaazar, its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

Either party may terminate these Terms at any time with written notice. BrandBaazar may also suspend or terminate your access immediately if:

• You breach any provision of these Terms
• You fail to pay applicable fees after reasonable notice
• We are required to do so by law or a government authority
• Continuing the Service poses a security risk to the platform or other users

Upon termination, your right to access and use the Service will cease. Sections relating to intellectual property, limitation of liability, indemnification, and governing law will survive termination.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

Before initiating arbitration, the parties agree to attempt resolution through good-faith negotiation for a period of at least 30 days.

• Entire Agreement. These Terms, together with any applicable subscription agreement, constitute the entire agreement between you and BrandBaazar regarding the Service.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver. Failure by BrandBaazar to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. BrandBaazar may assign its rights and obligations without restriction.
• Force Majeure. BrandBaazar shall not be liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, or internet service disruptions.
